1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the Neberi website (“Website”) and any purchase of products offered through the Website.

Throughout these Terms, “Neberi”, “we”, “our”, and “us” refer to Neberi. “You”, “your”, and “Customer” refer to any individual or entity accessing or using the Website or purchasing Goods from Neberi.

By accessing the Website, creating an account, or placing an order, you acknowledge that you have read, understood and agree to be legally bound by these Terms. If you do not agree with these Terms, you must immediately discontinue use of the Website.

These Terms constitute a legally binding agreement between you and Neberi.

2. Eligibility

By using this Website, you represent and warrant that:

you have legal capacity to enter into binding contracts;
you are at least 18 years of age or are using the Website under the supervision of a parent or legal guardian;
all information provided by you is accurate, complete and current.

3. Definitions

For the purposes of these Terms:

Business Day means any day other than a Saturday, Sunday or public holiday in Victoria, Australia.

Goods means all products, merchandise and services supplied by Neberi.

Order means any request submitted by a Customer to purchase Goods.

Website means the official Neberi website together with all associated webpages and online services.

4. Orders and Acceptance

All Orders submitted through the Website constitute an offer by the Customer to purchase Goods.

Acceptance of an Order occurs only when Neberi issues confirmation that the Goods have been dispatched.

We reserve the right, in our absolute discretion, to refuse, cancel or limit any Order, including where:

Goods become unavailable;
pricing or product information contains an error;
payment cannot be authorised;
fraud or unlawful activity is suspected;
shipping restrictions apply;
the Order breaches these Terms.

Where payment has been received for a cancelled Order, a full refund will be issued using the original payment method.

5. Product Information

Neberi endeavours to ensure all descriptions, specifications, dimensions, photographs and pricing are accurate.

Many of our products are handcrafted and may exhibit natural variations including, but not limited to:

colour;
texture;
finish;
grain;
weight;
dimensions;
surface markings.

Such variations are inherent characteristics of handmade products and shall not constitute defects.

Neberi reserves the right to modify product specifications, packaging or materials without prior notice where reasonably necessary.

6. Pricing

Unless otherwise stated:

all prices are displayed in Australian Dollars (AUD);
prices include Australian Goods and Services Tax (GST) where applicable;
delivery charges are calculated separately during checkout.

Neberi reserves the right to amend pricing at any time before acceptance of an Order.

7. Payment

Payment must be successfully completed before Goods are dispatched.

Payment processing is performed through secure third-party payment providers.

Neberi does not store complete credit card or payment credentials.

Failure to receive payment authorisation may result in cancellation of an Order.

8. Shipping and Delivery

Estimated delivery timeframes are indicative only.

Neberi shall not be liable for delays caused by:

courier services;
customs authorities;
natural disasters;
industrial action;
public holidays;
events beyond our reasonable control.

Risk of loss or damage passes to the Customer upon delivery to the nominated delivery address.

Customers are solely responsible for ensuring all delivery details are accurate.

9. Australian Consumer Law

Nothing contained within these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Competition and Consumer Act 2010 (Cth), including Schedule 2 (Australian Consumer Law), where such exclusion is prohibited by law.

Where Goods fail to comply with a statutory consumer guarantee, Customers may be entitled to remedies including repair, replacement or refund in accordance with Australian Consumer Law.

10. Returns and Refunds

Returns are governed by Neberi’s Returns & Refund Policy.

Where Australian Consumer Law applies, statutory rights prevail over any inconsistent provision contained within these Terms.

Change-of-mind returns may be accepted solely at Neberi’s discretion and subject to any conditions specified within the Returns Policy.

11. Intellectual Property

Unless otherwise indicated, all intellectual property rights subsisting in the Website, including without limitation:

trademarks;
logos;
trade dress;
product designs;
photographs;
illustrations;
videos;
written content;
graphics;
software;
layout;
source code;
branding materials,

are owned by or licensed to Neberi and remain the exclusive property of Neberi.

No licence or proprietary interest is granted to any Customer.

No content may be copied, reproduced, distributed, modified, published or commercially exploited without prior written consent.

12. Acceptable Use

You agree not to:

misuse the Website;
interfere with Website security;
transmit malicious software;
scrape or harvest Website content;
reverse engineer any Website functionality;
infringe any intellectual property rights;
engage in unlawful conduct through the Website.

Neberi reserves the right to suspend or permanently restrict access where these Terms are breached.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Neberi excludes all liability for any indirect, consequential, incidental, special or exemplary loss or damage, including but not limited to:

loss of profits;
loss of business opportunity;
loss of goodwill;
loss of revenue;
business interruption;
loss of data.

Where liability cannot be excluded, Neberi’s aggregate liability shall be limited, at its election, to:

replacement of the Goods;
repair of the Goods;
resupply of equivalent Goods; or
refund of the purchase price.

14. Product Safety

Customers acknowledge that candles and similar products involve an open flame and must be used responsibly.

Customers agree to follow all safety instructions supplied with the Goods.

Neberi accepts no liability arising from misuse, negligence, improper storage or failure to follow product safety instructions.

15. Privacy

Your use of the Website is also governed by Neberi’s Privacy Policy.

By using the Website, you consent to the collection, use and disclosure of personal information in accordance with the Privacy Policy.

16. Force Majeure

Neberi shall not be liable for any delay or failure to perform any obligation arising from circumstances beyond its reasonable control, including but not limited to:

natural disasters;
pandemics;
acts of government;
cyber attacks;
telecommunications failures;
industrial disputes;
war;
civil unrest;
transportation disruptions.

Performance shall be suspended for the duration of the relevant event.

17. Indemnity

You agree to indemnify and hold harmless Neberi, its owners, employees, contractors and affiliates from any claim, liability, loss, damage, cost or expense (including reasonable legal costs) arising directly or indirectly from:

your breach of these Terms;
your misuse of the Website;
your violation of applicable laws;
infringement of any third-party rights.

18. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

19. Waiver

Failure by Neberi to enforce any provision of these Terms shall not constitute a waiver of any rights.

Any waiver must be in writing and signed by an authorised representative of Neberi.

20. Entire Agreement

These Terms, together with our Privacy Policy, Returns & Refund Policy and any other policies published on the Website, constitute the entire agreement between Neberi and the Customer concerning the use of the Website and the purchase of Goods.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia.

The parties irrevocably submit to the exclusive jurisdiction of the courts of Victoria and any courts competent to hear appeals from those courts.

22. Amendments

Neberi reserves the right to amend these Terms at any time.

Any amendments become effective immediately upon publication on the Website unless otherwise specified.

Continued use of the Website following publication constitutes acceptance of the revised Terms.
